Terms of sale

Updated:

This is an English translation for convenience. The Polish version is binding.

1. General provisions

  1. These terms of sale govern sales contracts for products ordered through the cart on technocenter.pl (the Website).
  2. The seller is NEOFETCH Sp. z o.o., ul. Stefana Batorego 18/108, 02-591 Warsaw, Poland, entered in the National Court Register under KRS 0001153738, NIP 7011245039, REGON 540850275, trading as Technocenter (the Seller).
  3. Contact: e-mail [email protected], phone +48 578 266 723, Mon–Fri 9 am–5 pm (CET).
  4. Matters not covered here are governed by the Website Terms of service and Polish law, in particular the Civil Code.

2. Definitions

  • Buyer: a business (a natural person, legal person or organisational unit) that concludes the contract in connection with its business or professional activity and uses a Polish NIP.
  • Sole trader with consumer rights: a Buyer who is a natural person and concludes a contract directly related to their business where the contract is not of a professional nature for them, in particular based on the activity listed in the Central Register and Information on Economic Activity (CEIDG) (Art. 7aa of the Polish Consumer Rights Act of 30 May 2014).
  • In-stock product: a product with a shown price that is in stock according to the Website data at the time of the order.
  • Business day: Monday to Friday, except public holidays in Poland.

3. Who can buy through the cart

  1. Only businesses can buy through the cart. Orders are placed with a Polish NIP.
  2. Before accepting an order, the Seller checks the NIP in the VAT taxpayer register (white list) and in the REGON register kept by Statistics Poland. The company details for the invoice are taken from these registers.
  3. The Seller may decline a cart order or offer an individual quote instead, in particular when the NIP is invalid or does not belong to an active company, when the registers do not show that the purchase is professional for the Buyer, or when the Buyer uses a foreign VAT number.
  4. When the registers are unavailable or inconclusive, the order may be accepted with the status "to be verified". The Seller then checks the details before fulfilment.
  5. Cart orders are delivered within Poland and are limited to PLN 15,000 gross. Larger orders, deliveries outside Poland and larger quantities are handled through a quote under the Website Terms of service.

4. Prices

  1. Prices are shown in Polish zloty (PLN) net of VAT. The cart and the order summary show the net price, VAT at 23% and the gross price. VAT is calculated per line, as on the invoice.
  2. The price shown in the order summary when the order is placed is binding.
  3. If the price or availability of a product changes between adding it to the cart and placing the order, the Website shows the change, and the Buyer must confirm it before ordering.
  4. Courier delivery within Poland costs PLN 20 net per order and is shown in the order summary.

5. Ordering and conclusion of the contract

  1. To order, the Buyer adds in-stock products to the cart, enters the NIP, contact details and a delivery address in Poland, chooses a payment method, declares that they order as a business in connection with their business activity and accepts these terms, and clicks "Place order with obligation to pay".
  2. The delivery address can differ from the company address.
  3. The Buyer receives an e-mail with the order number confirming acceptance of the order. The sales contract is concluded when this e-mail is sent.
  4. If the verification of an order with the status "to be verified" is negative, the Seller may withdraw from the contract by e-mail and refunds any payment without delay.

6. Payment

  1. Payment methods:
    • bank transfer against a proforma invoice: the proforma is e-mailed with the order confirmation and shows the due date;
    • online payment: BLIK, Przelewy24 or a payment card with 3-D Secure, on the payment page of Stripe (Stripe Payments Europe, Limited);
    • deferred payment: for Buyers with an approved credit limit, within the available limit and on individually agreed terms.
  2. Online payment is not available for orders with the status "to be verified" because the registers were unavailable.
  3. After fulfilment, the Seller issues one VAT invoice for the whole order.
  4. If a bank transfer is not booked by the due date on the proforma, the Seller may cancel the order by e-mail.

7. Delivery

  1. Cart orders are delivered by courier, within Poland only.
  2. The Seller ships the order once the payment is booked (bank transfer or online payment) or once the order is accepted (deferred payment), and in every case after the verification of an order with the status "to be verified".
  3. In-stock products are delivered on the next business day if the shipping condition is met on a business day by 4 pm. Otherwise, the time counts from the next business day.
  4. The Buyer receives the tracking number by e-mail.
  5. The Buyer checks the parcel on delivery. If it is damaged, a damage report should be drawn up with the courier and the Seller informed.
  6. Products ship in factory configuration. The Seller does not offer installation, mounting or configuration.

8. Warranty and complaints

  1. Products are covered by the manufacturer's warranty on the terms in the warranty card or the manufacturer's warranty terms. Warranty repairs are carried out by the manufacturer's service. The Seller helps the Buyer contact the manufacturer's service.
  2. The Seller's statutory liability for defects (rękojmia) is governed by the Polish Civil Code. The rights of sole traders with consumer rights are described in section 9.
  3. Complaints can be sent to [email protected] with the order number, a description of the defect and contact details.
  4. The Seller replies to a complaint within 14 days of receiving it.

9. Sole traders with consumer rights

  1. Consumer protection rules apply to sole traders with consumer rights to the extent set out in Art. 7aa of the Polish Consumer Rights Act, in particular the right to withdraw from a distance contract within 14 days without giving a reason, the rules on goods not conforming to the contract, and the rules on unfair contract terms.
  2. The withdrawal period runs from the day the Buyer, or a person they indicated other than the carrier, takes possession of the product. It is enough to send the statement before the period ends, for example by e-mail to [email protected].
  3. The Buyer returns the product without delay and within 14 days of withdrawing, to the address given by the Seller in reply to the statement. The Buyer bears the direct cost of the return.
  4. The Seller refunds the payments, including delivery at the cost of the cheapest delivery offered, without delay and within 14 days of receiving the statement. The Seller may withhold the refund until it receives the product or proof that it has been sent back.
  5. The right of withdrawal does not apply in the cases listed in Art. 38 of the Consumer Rights Act, in particular to software supplied in a sealed package once the package has been opened after delivery.
  6. The Buyer is liable for any reduction in the value of the product resulting from handling it beyond what is necessary to establish its nature, characteristics and functioning.

10. Personal data

How we process personal data, including order data and the NIP check in public registers, is described in the Privacy policy.

11. Final provisions

  1. Contracts concluded through the cart are governed by Polish law.
  2. Disputes with Buyers who are not sole traders with consumer rights are settled by the court competent for the Seller's registered office.
  3. The Seller may change these terms for important reasons, such as changes in law, payment methods or delivery. Orders placed before a change are governed by the previous version.
